These Terms of Service ("Terms") govern access to and use of the trading-platform software and related services (the "Platform") provided by Jcom Technologies ("Jcom", "we", "us").
Jcom is a technology provider, not a broker. Jcom licenses software that brokerages use to operate their own businesses. Jcom is not a broker, exchange, financial institution, or investment adviser, is not licensed or regulated as a financial-services firm, and does not provide financial, investment, legal, or tax advice or services to any end user. Nothing in these Terms is legal advice.
1. Nature of Service - Technology Only, No License
Jcom provides white-label Forex/CFD trading-platform software and related technologyon a business-to-business basis to companies ("Clients") that operate their own brokerage. Jcom's role is limited to supplying, hosting, and maintaining the technology.
Jcom does not:
- act as a broker, dealer, exchange, market maker, custodian, payment institution, or financial institution;
- hold, control, or transmit client or end-user funds;
- execute trades for end users or deal on its own account; or
- provide financial, investment, legal, accounting, or tax advice or services.
Jcom holds no financial-services license or authorization. Nothing on this website or in these Terms should be read as a claim of any license, registration, or regulatory status. Jcom does not offer the Platform to the general public and does not onboard retail traders: it contracts only with businesses. Jcom may decline to provide, or may withdraw, the Platform in any jurisdiction, at its discretion.
2. Client Compliance Responsibility
The Client is solely and exclusively responsible for the lawful operation of its brokerage in every jurisdiction in which it operates or offers services, including:
- obtaining and maintaining all licenses, registrations, and authorizations with the relevant financial regulators;
- anti-money-laundering (AML), counter-terrorist-financing, and know-your-customer (KYC) programs;
- client-money handling, safeguarding, and segregation;
- marketing, disclosure, suitability, and risk-warning rules applicable to its end users;
- tax collection and reporting, sanctions and export-control screening, and data-protection compliance for its own end users.
Jcom does not assume, and expressly disclaims, responsibility for the Client's regulatory compliance or for the Client's relationship with its end users. The Client must not represent that Jcom is its regulator, licensor, or a licensed financial-services provider.
3. Demo & Simulated Trading
Any demonstration, trial, sandbox, or "demo" environment made available through the Platform uses simulated trading with virtual funds only. No real money, securities, or financial instruments are involved.
Simulated results are hypothetical, do not represent actual trading, and are not indicative of future results. Because simulated orders are not executed in a live market, real results may differ materially. Nothing shown in a demo constitutes investment advice, a recommendation, or an offer of any financial product or service.
4. Platform & Intellectual-Property License
The Platform - including all software, source code, designs, interfaces, documentation, trademarks, and related intellectual property - is and remains the exclusive property of Jcom and its licensors. Subject to these Terms and payment of applicable fees, Jcom grants the Client a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for the term of its agreement.
Except as expressly permitted, the Client may not copy, modify, distribute, sublicense, resell, reverse-engineer, decompile, or create derivative works of the Platform. Jcom retains all rights not expressly granted, including improvements and feedback-derived enhancements. The Client may apply its own brand, domain, and design to the Platform; that branding remains the Client's, and the underlying software remains Jcom's. Where the Client has signed a separate license or services agreement with Jcom, that agreement governs the licensed scope and the fees, and prevails over this section if the two conflict.
5. Acceptable Use
The Client and its users must not use the Platform to:
- violate any law or regulation, or operate a brokerage without the required licenses;
- facilitate fraud, money laundering, sanctions evasion, or other unlawful activity;
- infringe third-party rights, or introduce malware or attempt unauthorized access;
- disrupt, overload, or reverse-engineer the Platform; or
- misrepresent Jcom's role or regulatory status.
Jcom may suspend or terminate access for violations of this section.
6. Fees, Subscription & Refunds
The Platform is licensed on a subscription basis. Fees are payable in advance for each subscription period, and the Client receives access to the Platform for the period it has paid for. Fees, periods, and payment terms are set out in the Client's order form or separate license or services agreement.
Fees are non-refundable.Jcom does not refund a subscription period, in whole or in part, including where the Client stops using the Platform, terminates early, is suspended for breach, or where the Platform is unavailable for a period of time. Jcom gives no uptime, availability, or performance guarantee, and the Platform may be interrupted by maintenance, third-party failures, or events outside Jcom's control.
Where the Platform has been unavailable for a material period, Jcom may, at its sole discretion, offer a discount or credit against a future subscription period. Any such credit is a goodwill gesture, is not an admission of liability, does not create an entitlement to a credit on any future occasion, and is never payable in cash.
7. No Warranty
The Platform is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Jcom does not warrant that the Platform will be uninterrupted, error-free, or secure, or that it will meet the Client's requirements or achieve any particular result. Warranties that cannot be excluded under the applicable law are not excluded, and nothing in this section limits them.
8. Limitation of Liability
To the maximum extent permitted by law, Jcom will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Platform or these Terms, even if advised of the possibility.
Without limiting the above, Jcom is not liable for trading losses, lost profits, or any loss suffered by the Client's end users, nor for downtime, interruption, delay, or loss of market data, and Jcom has no obligation to refund fees in any of those circumstances (see Fees, Subscription & Refunds above).
Jcom's total aggregate liability arising out of or relating to the Platform or these Terms will not exceed the fees paid by the Client to Jcom in the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation, for wilful misconduct, or for death or personal injury caused by negligence. Those liabilities are unaffected by this section.
9. Indemnity
The Client will defend, indemnify, and hold harmless Jcom and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or relating to: (a) the Client's operation of its brokerage; (b) the Client's end users and their trading; (c) the Client's breach of these Terms or of any law, regulation, or licensing requirement; and (d) any representation that Jcom is a licensed or regulated financial-services provider.
This indemnity runs in Jcom's favour only. Jcom gives no indemnity to the Client. Jcom will notify the Client of any claim it seeks to be indemnified against, and the Client will not settle a claim in a way that admits fault on Jcom's behalf without Jcom's written consent.
10. Term & Termination
These Terms apply for as long as the Client accesses the Platform and are supplemented by the Client's separate license or services agreement. Either party may terminate as set out in that agreement or for material breach.
Jcom may suspend or terminate the Client's access immediately, without liability and without refund, where Jcom reasonably considers that continuing to provide the Platform exposes Jcom to legal, regulatory, financial, security, or reputational harm. That includes, without limitation: non-payment; operating without a required licence; suspected fraud, money laundering, or sanctions exposure; misrepresenting Jcom's role or regulatory status; or conduct that threatens the integrity or security of the Platform. Where circumstances allow, Jcom will give the Client notice and an opportunity to cure, but it is not obliged to.
On termination the Client's license ends and it must cease using the Platform. Fees already paid are not refunded and any unpaid fees for the current period remain due. The Client is responsible for winding down its own end-user relationships lawfully. Jcom will make the Client's data available for export for a reasonable period after termination and may then delete it, subject to any retention Jcom is required by law to apply. Provisions that by their nature should survive, including intellectual property, disclaimers, limitation of liability, indemnity, and governing law, survive termination.
11. Governing Law & Disputes
These Terms are governed by the laws of the Republic of Cyprus, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts of Nicosia, Cyprus. Before starting proceedings, the parties will attempt in good faith to resolve the dispute by negotiation between senior representatives.
12. Changes to These Terms
Jcom may update these Terms from time to time. Material changes will be indicated by updating the "Last updated" date above and, where appropriate, by additional notice. Continued use of the Platform after changes take effect constitutes acceptance. Prior versions are kept on record.
